Policies

Fund governance

The primary purpose of NGS Super is to maximise the retirement benefits of its members. To achieve this, the Trustee must ensure the Fund is well governed. Our governance framework provides key policies and procedures which guide the Trustee on how the Fund is managed. Our policies are developed in line with industry best practice and regulatory standards.

The Trustee of NGS Super is NGS Super Pty Limited. The Trustee holds a Registrable Superannuation Entity (RSE) licence from the Australian Prudential Regulation Authority (APRA) and an Australian Financial Services Licence (AFSL) issued by the Australian Securities and Investment Commission (ASIC).

This allows the Trustee to provide general financial product advice to its members. The Trustee also holds indemnity insurance to protect the Fund from legal action.

NGS Super is governed by a Trust Deed, which is a legal document that sets out the rules for running a super fund, and what the Trustee can and can’t do.

Appointment and removal of directors

NGS Super also has Articles of Association (Constitution), which along with the Trust Deed, forms the governing rules for the Fund. It contains information about how Directors are appointed and removed.

Register of relevant duties and interests

The Trustee maintains a Register of Relevant Duties and Relevant Interests for itself, its responsible persons and associates, which include:

  • all directors of the Trustee
  • Company Secretary of the Trustee
  • all Executive Managers of the Trustee
  • external fund auditor.

A relevant duty is, for example, other directorships or employment that an individual may hold, and a relevant interest is, for example, major shareholdings. You can find out more about these in the summary of our Conflicts Management Framework and Policy.

Relevant duties and relevant interests will be disclosed in the register for as long as the Trustee, responsible person or associate has the relevant duty or interest. Gifts will be included in the register for 24 months.

Proxy voting policy

NGS Super will exercise the Fund’s voting rights and seek to monitor managers' voting where invested in pooled vehicles.

For Australian shares voting is decided by NGS Super taking into account the advice of the Australian Council of Superannuation Investors (ACSI) the peak corporate governance body for institutional investors in Australia, in which NGS Super is a member. ACSI provides independent research and advice to superannuation funds on the environmental, social and corporate governance risk of companies in which they invest. NGS Super subscribes to ACSI's proxy voting service.

Proxy voting actions are reported to the Investment Committee. A summary of all the Fund’s proxy voting actions is maintained internally, including the name of the company, the meeting date, the nature of the resolutions, and how the Fund voted.

Remuneration

As an industry super fund, NGS Super is run only to benefit members.

The Fund's remuneration practices reflect our core values, placing our members at the centre of all we do. We also recognise that we need to resource the Fund in order to provide quality benefits and services to members.
